LyricsIntoSongAI Commercial License Agreement

1. Contract Participants

The following parties enter into this binding agreement:

Service Provider: LyricsIntoSongAI.ai (referred to as "Provider")
Operating Address: 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ.

Service Recipient: Annual subscription members of LyricsIntoSongAI.ai (referred to as "Member")

2. Key Terms

3. License Coverage

3.1 Annual subscription Members receive full, perpetual, global rights to utilize all AI-generated music created through our platform during their active subscription period.

3.2 Granted privileges include:

• Full reproduction and distribution rights
• Broadcasting and public performance rights
• Rights to create derivative works
• Commercial exploitation rights
• Sublicensing authority

4. Member Obligations

4.1 Members agree to adhere to the platform's terms of service and guidelines.

4.2 Members commit not to use the AI-generated music for illegal or harmful purposes.

5. Provider Warranties

5.1 The Provider warrants that it has the necessary rights and authorization to provide the services agreed upon in this agreement.

5.2 The Provider warrants that the AI-generated music will not infringe upon existing copyrights of third parties.

5.3 The Provider warrants that, in accordance with the open-source licenses of the underlying AI models, it has the right to grant Members commercial usage rights for all music generated on the platform.

5.4 The Provider makes no warranties regarding the quality, merchantability, or fitness for a particular purpose of the AI-generated music.

6. Limitation of Liability

6.1 The Provider shall not be liable for any direct or indirect losses caused by the Member's use of the AI-generated music.

6.2 The Member shall assume all risks and responsibilities associated with the use of the AI-generated music.
