1. Contract Participants
The following parties enter into this binding agreement:
Service Provider: LyricsIntoSongAI.ai (referred to as "Provider")
Operating Address: 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.
Service Recipient: Annual subscription members of LyricsIntoSongAI.ai (referred to as "Member")
2. Key Terms
2.1 "AI-Generated Music" encompasses all musical compositions created through the Provider's artificial intelligence systems.
2.2 "Commercial Application" refers to any revenue-generating use, including but not limited to monetization, licensing, distribution, performance, modification, and derivative works.
3. License Coverage
🎵 Important: All AI-generated music created during your annual subscription period grants you permanent, perpetual commercial rights that continue indefinitely, even after your subscription ends.
3.1 Annual subscription Members receive full, perpetual, and irrevocable global rights to all AI-generated music created through our platform during their active subscription period.
3.2 Granted privileges include:
- Full reproduction and distribution rights
- Broadcasting and public performance rights
- Rights to create derivative works
- Commercial exploitation rights
- Sublicensing authority
4. Member Obligations
4.1 Members agree to adhere to the platform's terms of service and guidelines.
4.2 Members commit not to use the AI-generated music for illegal or harmful purposes.
5. Provider Warranties
5.1 The Provider warrants that it has the necessary rights and authorization to provide the services agreed upon in this agreement.
5.2 The Provider warrants that the AI-generated music will not infringe upon existing copyrights of third parties.
5.3 The Provider warrants that, in accordance with the open-source licenses of the underlying AI models, it has the right to grant Members commercial usage rights for all music generated on the platform.
5.4 The Provider makes no warranties regarding the quality, merchantability, or fitness for a particular purpose of the AI-generated music.
6. Limitation of Liability
6.1 The Provider shall not be liable for any direct or indirect losses caused by the Member's use of the AI-generated music.
6.2 The Member shall assume all risks and responsibilities associated with the use of the AI-generated music.
7. Training Dataset and License References
7.1 The Provider's AI music systems are trained using open, public-domain, and permissively licensed music materials, including the publicly documented datasets and license references listed below. These datasets are commonly used in music information retrieval, symbolic music, and AI music research.

8. Certificate Validity
8.1 This commercial license certificate covers your annual subscription period from__________toPermanent
9. License Termination Upon Refund
⚠️ Important: Refund Impact on License Validity
9.1 If a Member requests and receives a refund for their annual subscription during the subscription period, this commercial license agreement shall automatically become null and void.
9.2 Upon refund processing, the Member immediately loses all commercial rights to any AI-generated music created during the subscription period, regardless of when the music was generated.
9.3 The Member must cease all commercial use of the AI-generated music and remove it from any commercial applications, distributions, or derivative works within 30 days of refund processing.
